MARKETPLACE TERMS & CONDITIONS BUYIT AGENCY

These Marketplace Terms & Conditions (“Terms”) govern access to and use of the BuyIt Agency website, marketplace, services, applications and related digital platforms (“Platform”).

BuyIt Agency is operated by Vinjcap FZE and functions as a general trading and e-commerce business, including the marketing, sale, brokerage and transfer of digital assets, domain names, artwork, music, media, intellectual property, online products and miscellaneous goods and services.

By accessing or using the Platform, users agree to comply with these Terms together with the Privacy Policy and any additional policies published by BuyIt Agency.

1. Eligibility and Acceptance

• Users must be at least 18 years of age and legally capable of entering into binding agreements.
• By accessing or using the Platform, users confirm that they have the legal authority to do so. 

2. Marketplace Services

• The Platform may facilitate the listing, sale, brokerage, licensing or transfer of digital assets, products, services and miscellaneous goods.
• BuyIt Agency may act as a marketplace operator, intermediary, broker, reseller or direct seller depending on the transaction structure.
• We reserve the right to refuse, suspend or remove listings or transactions at our discretion. 

3. User Accounts

• Users may be required to register an account to access certain services or marketplace features.
• Users are responsible for maintaining the confidentiality and security of account credentials.
• Users accept responsibility for all activity conducted through their accounts.

4. User Conduct

• Users agree to use the Platform only for lawful purposes.
• Users must not engage in fraud, misleading conduct, unlawful activity, intellectual property infringement, hacking, scraping, malware distribution, sanctions violations or abusive behaviour.
• Users must not attempt to interfere with the security or operation of the Platform.

5. Listings and User Content

• Users who upload, submit or list content grant BuyIt Agency a non-exclusive right to display, market and distribute such content for Platform and business purposes.
• Users are solely responsible for ensuring that their listings, products, content and materials are accurate, lawful and do not infringe third-party rights.
• BuyIt Agency reserves the right to edit, remove or restrict any listing or content at its discretion.

6. Payments and Escrow

• Payments may be processed through third-party payment providers, merchant processors or escrow platforms including services such as Escrow.com, Stripe or PayPal.
• Users agree to comply with the terms and policies of such providers.
• BuyIt Agency shall not be liable for delays, failures or errors caused by third-party payment or escrow providers.

7. Sales, Transfers and Refunds

• Unless expressly agreed otherwise in writing, all sales, transfers and completed transactions through the Platform are final and non-refundable.
• Digital asset transfers and certain online transactions may be irreversible once completed.
• BuyIt Agency may, at its sole discretion, consider a commercial buy-back arrangement or negotiated resolution in limited circumstances, which may be offered at a reduced value or subject to additional terms and conditions.

8. Intellectual Property Rights

• All Platform content including text, graphics, branding, logos, software and website materials are owned by or licensed to BuyIt Agency and protected under applicable intellectual property laws.
• Users may not reproduce, distribute, modify or commercially exploit Platform content without prior written consent.

9. Intellectual Property Complaints

• Users who believe that content or listings infringe intellectual property rights may contact us with supporting evidence for investigation.
• BuyIt Agency reserves the right to remove disputed content or suspend related accounts pending review.

10. Third-Party Services and Links

• The Platform may contain links to third-party websites, marketplaces or external services.
• Third-party services operate independently and under their own terms and privacy policies.
• BuyIt Agency is not responsible for third-party content, products, services or conduct.

11. Disclaimer of Warranties

• The Platform and marketplace services are provided on an 'as is' and 'as available' basis.
• BuyIt Agency does not guarantee uninterrupted availability, accuracy, legality, security or error-free operation of the Platform or any listings.
• Users rely upon the Platform and transactions at their own risk.

12. Limitation of Liability

• To the maximum extent permitted by law, BuyIt Agency, Vinjcap FZE and their affiliates shall not be liable for indirect, incidental, consequential or special losses including loss of profits, revenue, data, business or opportunities.
• Any liability arising in connection with the Platform shall be limited to the amount paid by the user to BuyIt Agency in relation to the relevant transaction during the preceding 12 months.

13. Indemnity

• Users agree to indemnify and hold harmless BuyIt Agency and Vinjcap FZE against claims, liabilities, damages, losses, costs and expenses arising from misuse of the Platform, breaches of these Terms or infringement of third-party rights.

14. Suspension and Termination

• We reserve the right to suspend, restrict or terminate access to the Platform or marketplace services at any time where we reasonably believe these Terms have been breached or where necessary for legal, regulatory or security reasons.

15. Privacy and Data Protection

• Use of personal information is governed by our Privacy Policy.

16. Changes to these Terms

• We may amend or update these Terms periodically.
• Updated versions will be published on the Platform together with the revised effective date.

17. Governing Law and Jurisdiction

• These Terms shall be governed by and interpreted in accordance with the laws of the United Arab Emirates.
• Any disputes arising in connection with these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.
